To cancel a purchase order for SmartSolve products, you must follow these specific steps and guidelines:
Cancellation Process

Permission Requirement: The customer can only cancel a purchase order if it is permitted by the express written terms of the Sales Agreement.
Advance Notice and Cancellation Charges

Advance Notice: Cancellation must be made upon reasonable advance notice to SmartSolve.

Cancellation Charges: The customer must pay SmartSolve’s cancellation charges, which may include all costs and expenses incurred or committed by SmartSolve, as well as SmartSolve’s prorated profit based on the percentage of completion of the order. SmartSolve’s determination of these cancellation charges is conclusive.

Written Request: The cancellation request must be made in writing.

Acknowledgment: The cancellation will only be effective upon written acknowledgment by SmartSolve.

No Assignment: The customer cannot assign its rights or delegate its duties under the purchase order without the prior written consent of SmartSolve. Any such assignment without consent is void.
